CLIENT AGREEMENT, PURCHASING POLICY AND CANCELLATION & REFUND POLICY
These terms and conditions (the "Agreement") govern the purchase and delivery of all services provided by Crypto Talents ("Crypto Talents", "we", "us", or "our") to clients ("Client", "you", or "your"). By completing payment for any service offered by Crypto Talents, you acknowledge that you have read, understood, and irrevocably agreed to be bound by the terms of this Agreement in their entirety.
This Agreement constitutes a legally binding contract between you and Crypto Talents. If you do not agree to these terms, you must not proceed with any purchase.
1. NATURE OF SERVICES
Crypto Talents provides bespoke career repositioning advisory services to professionals seeking to transition into the digital asset and blockchain industry. The specific scope of deliverables, sessions, and support included in each engagement is defined at the time of purchase and confirmed in writing between Crypto Talents and the Client. All services are tailored to the individual Client and delivered on a bespoke advisory basis. They do not constitute employment placement guarantees, executive search, headhunting, or regulated financial advice of any kind.
2. PURCHASING POLICY
2.1 Payment & Confirmation
All services offered by Crypto Talents are provided on a fee-for-service basis. Prices are communicated to the Client prior to purchase, either directly, via proposal, or as published on the Crypto Talents website or other designated channels.
An engagement is formally confirmed only upon receipt of full payment or, where expressly agreed in writing, the agreed deposit. Crypto Talents reserves the right to withhold commencement of any service until payment has been received and cleared.
2.2 Accepted Payment Methods
Accepted payment methods include bank transfer, major credit and debit cards, and such other payment channels as Crypto Talents may designate from time to time. All fees are payable in the currency stated on the invoice or payment instruction.
2.3 Taxes & Additional Charges
All prices are exclusive of applicable taxes, duties, or levies unless otherwise stated. The Client is solely responsible for any taxes applicable in their jurisdiction arising from the purchase of Crypto Talents services.
2.4 Commencement of Services
Services shall be deemed commenced upon the earliest of: (i) Crypto Talents initiating substantive communication with the Client relating to their repositioning engagement; (ii) the Client submitting the completed structured intake form; or (iii) Crypto Talents scheduling or conducting the first advisory session. Once services have commenced, the no-refund policy set out in Section 3 applies in full.
2.5 Scope Amendments
Any requested changes to the agreed scope of services must be submitted in writing. Crypto Talents reserves the right to adjust fees accordingly for any expansion of scope. Additional charges, where applicable, will be invoiced separately and are subject to the same payment terms as the original engagement.
3. CANCELLATION & REFUND POLICY
3.1 General Non-Refundable Policy
All fees paid to Crypto Talents are strictly non-refundable once services have commenced. For the avoidance of doubt, services are deemed to have commenced upon payment completion and the initiation of any communication between Crypto Talents and the Client in connection with the engagement, including but not limited to the transmission or receipt of the structured intake form, any introductory call, written strategy, or advisory correspondence.
The Client acknowledges and accepts that Crypto Talents invests significant time, expertise, proprietary methodology, and relationship capital from the outset of each engagement. The non-refundable nature of the fee reflects this immediate deployment of resources and the bespoke, knowledge-intensive nature of the services provided.
3.2 Pre-Commencement Cancellation
In the event the Client seeks to cancel their engagement prior to the commencement of services (as defined in Section 2.4), a cancellation request must be submitted in writing to Crypto Talents without delay. Crypto Talents will assess whether services have commenced in good faith. Where, at the sole discretion of Crypto Talents, it is determined that no substantive work has commenced, a partial or full refund may be issued, net of any applicable administrative or payment processing fees. This determination rests entirely with Crypto Talents and shall not constitute a precedent or ongoing obligation.
3.3 No Guarantee of Outcome
The Client expressly acknowledges that Crypto Talents provides advisory and strategic services only. Crypto Talents does not guarantee, represent, or warrant any specific career outcome, job placement, interview, offer, or introduction. The absence of a desired outcome shall not constitute grounds for refund, chargeback, or any claim against Crypto Talents.
3.4 Chargebacks & Disputes
The Client agrees not to initiate any chargeback, payment reversal, or third-party dispute in connection with fees paid to Crypto Talents for services rendered or commenced. In the event a chargeback or dispute is raised without merit, Crypto Talents reserves the right to pursue all available legal remedies, including recovery of fees, associated costs, and legal expenses. Documentation of services rendered will be provided to the relevant payment processor or financial institution as evidence.
3.5 Client Non-Participation
Should the Client fail to engage, respond to communications, complete required intake materials, or otherwise participate in the delivery of services within a reasonable timeframe, Crypto Talents shall not be obligated to issue any refund. Crypto Talents may, at its discretion, place the engagement on hold for a maximum of sixty (60) days pending Client re-engagement, after which the engagement may be closed without any entitlement to refund.
3.6 Force Majeure
Crypto Talents shall not be liable for any delay or failure to perform services caused by circumstances beyond its reasonable control, including but not limited to natural disasters, illness, regulatory changes, or platform outages. In such circumstances, Crypto Talents will endeavour to reschedule or continue services as soon as practicable. Such events shall not give rise to a right of refund.
4. CONFIDENTIALITY
Both parties agree to treat all non-public information shared in the course of the engagement as strictly confidential. The Client agrees not to disclose, reproduce, or distribute Crypto Talents' proprietary methodologies, strategic frameworks, candidate assessments, or proprietary materials to any third party without prior written consent.
Crypto Talents will treat all Client personal, professional, and financial information shared during the engagement with strict confidentiality and will not disclose such information to third parties except where required to deliver the agreed services, with the Client's prior consent, or as required by applicable law.
5. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Crypto Talents' total aggregate liability to the Client in connection with any engagement shall not exceed the total fees paid by the Client in respect of that engagement.
Crypto Talents shall not be liable for any indirect, incidental, consequential, special, or exemplary damages arising out of or in connection with the services, including but not limited to loss of earnings, loss of opportunity, reputational harm, or any third-party claims, whether or not Crypto Talents has been advised of the possibility of such damages.
6. GOVERNING LAW & JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Crypto Talents is registered or principally operates. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of that jurisdiction, unless otherwise agreed in writing by both parties.
In the event of any dispute, the parties agree to attempt in good faith to resolve the matter through direct negotiation before initiating formal legal proceedings.
7. AMENDMENTS TO THIS POLICY
Crypto Talents reserves the right to amend, update, or replace this Agreement at any time. The version in force at the time of the Client's payment shall govern that specific engagement. Updated policies will be published on the Crypto Talents website and/or communicated to Clients prior to any new engagement.
8. ACCEPTANCE
By proceeding with payment, the Client confirms that they have read this Agreement in full, that they understand and accept all terms herein, and that they enter into this Agreement freely and without duress. No refund, dispute, or chargeback may be raised on the basis of failure to read or understand these terms.
